HANDIO TERMS AND CONDITIONS Effective Date: June 2, 2026 These Terms and Conditions (“Terms”) govern your access to and use of the HANDIO platform, website, mobile applications, and related services (collectively, the “Platform”) operated by HANDIO LLC (“HANDIO,” “we,” “our,” or “us”). By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. ABOUT HANDIO HANDIO is a technology platform that connects individuals and businesses seeking temporary labor or services (“Job Posters”) with independent workers (“Workers”). HANDIO does not employ Workers and does not supervise, direct, control, or manage the services provided by Workers. ELIGIBILITY To use HANDIO, you must: • Be at least 18 years old. • Have legal authority to enter into binding agreements. • Provide accurate and truthful information. • Comply with all applicable laws. HANDIO may refuse service to any person at its sole discretion. ACCOUNT REGISTRATION Users must create an account to access certain Platform features. You agree to: • Maintain accurate information. • Keep login credentials secure. • Immediately notify HANDIO of unauthorized access. You are responsible for all activity occurring under your account. IDENTITY VERIFICATION To maintain the safety, integrity, and trust of the HANDIO Platform, HANDIO reserves the right to require identity verification for any user at any time. Users may be required to provide: • A valid government-issued photo identification; • A live selfie or facial verification image; • Email verification; • Phone number verification; • Address verification; • Any additional information reasonably requested by HANDIO. By using the Platform, you consent to the collection, processing, and storage of identity verification information for fraud prevention, account security, payment processing, regulatory compliance, and community safety purposes. HANDIO may utilize third-party identity verification providers to assist in verifying user identities. Failure to complete verification, submission of fraudulent documents, use of another person’s identity, or refusal to comply with verification requests may result in: • Account restrictions; • Temporary suspension; • Permanent account termination; • Cancellation of pending jobs; • Withholding or delay of payouts where permitted by law. Verification approval does not constitute a guarantee, endorsement, certification, or warranty of a user’s character, qualifications, skills, reliability, or suitability for any particular job or service. HANDIO reserves the right to re-verify users periodically or whenever suspicious activity is detected. WORKER STATUS Workers using HANDIO are independent contractors. Nothing in these Terms creates: • Employment. • Partnership. • Joint venture. • Agency relationship. Workers are solely responsible for: • Taxes. • Insurance. • Licenses. • Permits. • Compliance with applicable laws. JOB POSTINGS Job Posters are responsible for: • Providing accurate job descriptions. • Specifying compensation. • Providing safe working conditions. • Complying with applicable laws. HANDIO does not guarantee worker performance or availability. ACCEPTING JOBS Workers are responsible for reviewing job details before accepting assignments. Once accepted, Workers agree to: • Perform services professionally. • Arrive on time. • Complete work as described. • Treat customers respectfully. Repeated cancellations or no-shows may result in account suspension. LOCATION AND GPS VERIFICATION HANDIO may utilize location services and GPS technology. Users consent to the collection of location information for purposes including: • Job matching. • Arrival verification. • Fraud prevention. • Safety monitoring. Workers may be required to confirm arrival at a job site through the Platform. PAYMENTS Payments are processed through Stripe and other approved payment providers. By using HANDIO, users agree to the terms of applicable payment processors. HANDIO may collect service fees, platform fees, and processing fees. Applicable fees will be disclosed through the Platform. PAYOUTS Workers may receive payouts after successful completion of services. HANDIO reserves the right to: • Delay payouts for verification; • Investigate disputes; • Hold funds when fraud is suspected. Payout processing times may vary. DISPUTED JOBS If a Job Poster disputes the completion, quality, timing, or performance of services provided by a Worker, HANDIO may investigate the matter and temporarily withhold payment while the dispute is reviewed. HANDIO reserves the right, but is not obligated, to facilitate communication or mediate disputes between users. Users agree to cooperate with reasonable requests for information related to any dispute investigation. HANDIO’s determination regarding the release, withholding, or adjustment of funds for platform administration purposes shall be final, provided such determination is made in good faith and consistent with applicable law. HANDIO is not responsible for resolving every dispute and does not guarantee any particular outcome. RATINGS AND REVIEWS Users may provide ratings and reviews. HANDIO reserves the right to remove content that is false, defamatory, abusive, fraudulent, or otherwise violates applicable laws or Platform policies. SAFETY Users are responsible for maintaining safe environments. HANDIO may provide safety materials, guidelines, or training. Completion of safety materials does not guarantee safety. PROHIBITED ACTIVITIES Users may not: • Violate laws; • Harass, threaten, or intimidate others; • Discriminate based on protected characteristics; • Submit false information; • Circumvent Platform fees; • Create multiple fraudulent accounts; • Engage in fraud or deceptive conduct; • Interfere with Platform operations; • Use the Platform for unlawful purposes. ACCOUNT SUSPENSION HANDIO may suspend, restrict, or terminate accounts for: • Violations of these Terms; • Fraud concerns; • Safety concerns; • Verification failures; • Conduct harmful to other users or HANDIO. INTELLECTUAL PROPERTY The HANDIO name, logo, trademarks, software, content, and branding are the exclusive property of HANDIO LLC. Users may not reproduce, distribute, modify, or exploit HANDIO intellectual property without prior written permission. BACKGROUND CHECKS HANDIO may, now or in the future, offer criminal background checks, driving record checks, identity screening, or other screening services through third-party providers. Unless expressly stated otherwise by HANDIO, completion or passing of any background check does not constitute a guarantee, endorsement, certification, or warranty regarding a user’s character, honesty, reliability, qualifications, or suitability. Users acknowledge that background checks may not reveal all relevant information. DISCLAIMER OF WARRANTIES THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” HANDIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, HANDIO LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. HANDIO DOES NOT GUARANTEE: • Job availability; • Worker availability; • Earnings; • Service quality; • Continuous platform availability. INDEMNIFICATION Users agree to indemnify, defend, and hold harmless HANDIO LLC, its officers, owners, managers, employees, contractors, affiliates, and agents from any claims, damages, losses, liabilities, costs, and expenses arising out of: • User conduct; • Violation of these Terms; • Violation of applicable laws; • User interactions with other users. DISPUTE RESOLUTION Before initiating any legal action, the parties agree to attempt in good faith to resolve disputes through direct written communication. GOVERNING LAW AND VENUE These Terms shall be governed by and construed under the laws of the State of Indiana. If a dispute cannot be resolved through good-faith discussions, the parties agree that exclusive jurisdiction and venue shall lie in the state or federal courts located in Indiana. MODIFICATIONS HANDIO may modify these Terms at any time. Continued use of the Platform after updated Terms become effective constitutes acceptance of those modifications.
